These Terms and Conditions (the "Terms") constitute a binding agreement between Strix Lab ("Strix Lab," "we," "us," or "our") and each person who participates in the Strix Lab Referral Reward Program (the "Program") in any capacity, whether as a Referrer or a Referee (each, a "Participant"). By generating or using a referral link or code, registering as a Referee, accruing, or attempting to redeem any reward, or otherwise participating in the Program in any manner, each Participant represents that they have read, understood, and agree to be bound by these Terms in full, and that they satisfy all eligibility requirements set out in Section 4. If a Participant does not agree to these Terms, such person must immediately cease participation in the Program. These Terms are supplemental to, and incorporated into, Strix Lab's general Terms of Service and Privacy Policy, which continue to apply to each Participant's use of the Strix Lab platform generally; in the event of any direct conflict between these Terms and the general Terms of Service specifically with respect to the Program, these Terms shall govern solely as to the Program.
1.1 The Program allows eligible, verified Strix Lab account holders ("Referrers") to accrue rewards denominated in USDT by referring new users ("Referees") who register and trade on the Strix Lab platform. The Program is funded by a fixed reward pool of 2,000 USDT in aggregate (the "Reward Pool"), allocated across all qualifying Referrers in proportion to their number of Qualifying Referees, subject in all cases to the individual cap, qualification requirements, redemption conditions, and all other provisions of these Terms.
1.2 The precise formula, tiering, or schedule by which a Referrer's Reward Amount is calculated by reference to the number of Qualifying Referees shall be as published by Strix Lab from time to time on the official Program page or Discord server, and is hereby incorporated into these Terms by reference. In the event of any ambiguity or discrepancy between such published formula and these Terms, Strix Lab's determination, made in its sole discretion, shall be final.
1.3 Nothing in these Terms guarantees that any Participant will accrue, be credited with, or receive any reward. The Program is offered at Strix Lab's sole discretion and does not create any entitlement, property right, or contractual right to any reward until such reward has been credited in accordance with Section 8.
2.1 "Referrer" means an existing Strix Lab account holder who holds a validated and verified email address and who refers new users to the platform using a unique referral link or code issued by Strix Lab.
2.2 "Referee" means a new user who registers a Strix Lab account using a Referrer's referral link or code and who did not, at any prior time, hold a Strix Lab account under any identity.
2.3 "Reward Amount" means the value in USDT accrued by a Referrer, calculated in proportion to the Referrer's number of Qualifying Referees, subject to the individual cap in Section 3.2.
2.4 "Qualifying Referee" means a Referee who has satisfied the deposit condition in Section 5.1 and who therefore counts toward a Referrer's Reward Amount.
2.5 "Redemption" means the process by which a Referrer becomes entitled to have an accrued Reward Amount credited to their account balance, upon satisfaction of the conditions in Section 6.
2.6 "Applicable Law" means any law, regulation, rule, order, sanctions regime, or directive of any governmental or regulatory authority having jurisdiction over Strix Lab or a Participant, as applicable.
3.1 The Program is funded by a fixed, non-renewable Reward Pool of 2,000 USDT in aggregate, shared among all Referrers who qualify under these Terms and allocated on a first-qualified, first-served basis unless Strix Lab determines otherwise in its sole discretion.
3.2 Notwithstanding Section 3.1 or any other provision of these Terms, the maximum Reward Amount payable to any single Referrer under the Program shall not exceed 500 USDT, irrespective of the number of Referees such Referrer refers or the trading volume such Referrer or such Referrer's Referees generate.
3.3 A Referrer's Reward Amount shall accrue in proportion to the Referrer's number of Qualifying Referees, up to, but in no event exceeding, the cap in Section 3.2. Accrual under this Section 3.3 does not by itself entitle a Referrer to redemption; redemption remains subject to Section 6.
3.4 Strix Lab reserves the right, in its sole discretion, to close the Program prior to any announced end date once the Reward Pool has been fully allocated, or for any other reason permitted under Section 12, and to reject, prorate, or place on a waiting list any purported accrual that would cause the Reward Pool to be exceeded.
4.1 To be eligible to accrue a Reward Amount as a Referrer, an individual must, at all relevant times: (a) hold a Strix Lab account with a validated and verified email address in accordance with Section 7; and (b) personally engage in trading activity on the Strix Lab platform. Reward eligibility is conditioned on the Referrer's own trading activity and is not established by registration or referral link generation alone.
4.2 To be eligible to be counted as a Referee, an individual must: (a) be a genuinely new user holding no pre-existing Strix Lab account under any identity; (b) register using the Referrer's unique referral link or code; (c) hold a validated and verified email address in accordance with Section 7; and (d) engage in trading activity on the platform. Registration by a Referee, without more, does not entitle the referring Referrer to any reward.
4.3 Each Referee shall be attributed to, and counted toward the Reward Amount of, only one Referrer, being the Referrer whose referral link or code was used at the time of the Referee's initial registration. Strix Lab's attribution and account records shall be conclusive and binding absent manifest error.
4.4 Directors, officers, employees, contractors, and affiliates of Strix Lab, together with the immediate family members (spouse, parent, child, or sibling) and household members of any such person, are not eligible to participate in the Program as a Referrer or Referee. Any reward inadvertently accrued or credited to an ineligible person under this Section 4.4 shall be void, and Strix Lab may reclaim, deduct, or reverse any such reward without notice.
4.5 Each natural person may hold and operate only one Strix Lab account for purposes of the Program, whether as Referrer or Referee. The registration, control, or operation of multiple accounts by, or on behalf of, the same individual or entity is prohibited, and any resulting reward may be forfeited and reclaimed by Strix Lab.
4.6 Individuals who are residents of, located in, or accessing the Program from a jurisdiction in which participation in the Program or use of the Strix Lab platform is prohibited or restricted by Applicable Law, or who are subject to applicable trade sanctions, export control restrictions, or inclusion on any government watch list or restricted-party list, are not eligible to participate. Strix Lab may void any accrued or credited reward held by an ineligible person under this Section 4.6.
4.7 Each Participant represents and warrants that they are of legal age to enter into binding contracts in their jurisdiction of residence and that their participation in the Program does not violate any Applicable Law to which they are subject. Each Participant is solely responsible for determining whether their participation in the Program is lawful in their jurisdiction.
5.1 A Referee shall count toward a Referrer's Reward Amount only if such Referee deposits not less than 10 USDT (or the equivalent thereof) into the Referee's Strix Lab account using funds beneficially owned by the Referee. Referees who fail to satisfy this minimum deposit threshold, or whose deposit is subsequently reversed, charged back, or found to originate from a prohibited source, shall be excluded from the calculation of the referring Referrer's Reward Amount.
6.1 A Referrer shall not be entitled to redeem, and Strix Lab shall not credit, any accrued Reward Amount unless and until the Referrer has satisfied each of the following conditions concurrently. Partial satisfaction does not entitle a Referrer to partial redemption, and no reward shall be prorated, except where Strix Lab expressly determines otherwise in writing:
(a) the Referrer shall have completed personal trading volume on the Strix Lab platform equal to not less than fifty percent (50%) of the Referrer's total accrued Reward Amount (by way of illustration only, a Referrer who has accrued 300 USDT must complete not less than 150 USDT of trading volume);
(b) the Referrer shall have executed not less than ten (10) individual trades on the Strix Lab platform, each of which must represent bona fide trading activity as described in Section 9.2; and
(c) each Referee counted toward the Referrer's Reward Amount shall have satisfied the minimum deposit requirement in Section 5.1, it being understood that any Referee failing to satisfy such requirement shall be excluded from the Reward Amount calculation prior to assessment of redemption eligibility.
6.2 Strix Lab may, prior to crediting any redemption, verify that the conditions in Section 6.1 have been satisfied through bona fide activity, and may request supporting information from the Referrer. Strix Lab may decline to process a redemption pending completion of such verification.
7.1 Both Referrer and Referee accounts must maintain a validated and verified email address on file at all times prior to, and as a continuing condition of, any accrual, crediting, or redemption of rewards under the Program.
7.2 Strix Lab reserves the right, at its sole discretion, to require additional identity verification, including know-your-customer (KYC) documentation, prior to crediting or releasing any reward, and may suspend processing of any reward pending completion of such verification. Personal data collected for verification purposes will be handled in accordance with Strix Lab's Privacy Policy.
7.3 Accounts that do not maintain a validated and verified email address, or that fail any verification check required by Strix Lab, shall not accrue, be credited with, or receive any reward until such verification is completed to Strix Lab's satisfaction.
8.1 Upon a Referrer satisfying all applicable redemption conditions in Section 6, the Reward Amount shall be credited to the Referrer's Strix Lab account balance in USDT.
8.2 Crediting of a Reward Amount to a Referrer's account balance does not, by itself, entitle the Referrer to withdraw such funds to an external wallet. A separate withdrawal request may be required, and any such request shall be subject to further review, verification, and approval by Strix Lab in its discretion. Network and transaction fees associated with any withdrawal shall be borne solely by the Referrer, and Strix Lab makes no representation as to the network or protocol on which any withdrawal will be processed.
8.3 Strix Lab reserves the right to hold, delay, condition, or request further verification in respect of any credited reward pending completion of Strix Lab's standard compliance, risk, and anti-fraud procedures, and may reverse a credited reward if it is subsequently determined that the applicable conditions were not, in fact, satisfied or were satisfied through conduct prohibited under Section 9.
8.4 Unless earlier redeemed, any Reward Amount that has accrued but has not been redeemed within the period announced by Strix Lab from time to time on the official Program page or Discord server (or, absent such announcement, within one hundred eighty (180) days following accrual) shall automatically expire and be forfeited in full, and Strix Lab shall have no further obligation whatsoever with respect to such expired amount.
8.5 Rewards under the Program are non-transferable, may not be sold, assigned, pledged, or exchanged for cash or any asset other than as expressly provided in these Terms, and may not be combined or stacked with any other Strix Lab promotion unless Strix Lab expressly states otherwise in writing.
9.1 Self-referral in any form, the use of duplicate, multiple, or linked accounts, and any attempt by a Referrer to refer themselves, whether through alternate accounts, shared devices, shared payment instruments, or fabricated or misappropriated identities, is strictly prohibited.
9.2 Wash trading, self-matched trading, circular trading between Referrer and Referee accounts or accounts under common control, and any other artificial, simulated, or manipulative trading activity undertaken with the intent, in whole or in part, of satisfying the requirements of Section 6, is strictly prohibited and shall not be counted toward any redemption condition.
9.3 Strix Lab reserves the right, in its sole discretion, to investigate any account, to suspend or terminate any account's participation in the Program or on the platform generally, and to withhold, reverse, reclaim, or deduct any reward accrued, credited, or paid as a result of conduct that violates these Terms, in each case without prior notice and without liability to Strix Lab. Strix Lab's determination of a violation under this Section 9 shall be final.
10.1 THE PROGRAM AND ANY REWARD PROVIDED HEREUNDER ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
10.2 The Program, and any reward accrued or credited hereunder, does not constitute investment advice, a solicitation, or an offer or sale of any security or financial product, and nothing in these Terms or in Strix Lab's Program communications should be construed as a guarantee or prediction of profit. Trading digital assets involves substantial risk of loss, and each Participant acknowledges that they participate in trading activity, including any trading undertaken to satisfy Section 6, at their own risk.
10.3 Each Participant is solely responsible for determining, reporting, and satisfying any tax liability arising from the accrual, crediting, or redemption of any reward under the Program, and Strix Lab makes no representation regarding the tax treatment of any reward in any jurisdiction.
10.4 Strix Lab makes no representation or warranty regarding the value, stability, liquidity, or convertibility of USDT, and is not responsible for any loss arising from fluctuations in value, de-pegging events, or actions of third-party USDT issuers, custodians, or blockchain networks.
11.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRIX LAB'S AGGREGATE LIABILITY TO ANY PARTICIPANT ARISING OUT OF OR RELATING TO THE PROGRAM, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE REWARD AMOUNT ACTUALLY CREDITED TO THAT PARTICIPANT UNDER SECTION 8.
11.2 IN NO EVENT SHALL STRIX LAB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE PROGRAM, EVEN IF STRIX LAB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.3 Each Participant agrees to indemnify, defend, and hold harmless Strix Lab and its officers, directors, employees, and affiliates from and against any claim, loss, liability, or expense (including reasonable legal fees) arising out of or relating to such Participant's breach of these Terms, violation of Applicable Law, or fraudulent or abusive conduct in connection with the Program.
12.1 Strix Lab reserves the right, at its sole discretion and without prior notice, to amend, suspend, extend, or terminate the Program, these Terms, or any Participant's participation therein, in whole or in part, at any time. Amendments shall apply prospectively from the date of publication, except that Strix Lab may apply an amendment to a previously accrued but unredeemed Reward Amount where Strix Lab reasonably determines such application is necessary to comply with Applicable Law or to prevent fraud or abuse of the Program.
12.2 Strix Lab reserves the exclusive right to interpret and apply these Terms, and all determinations by Strix Lab as to eligibility, qualification, accrual, and redemption shall be final and binding on all Participants.
12.3 As of the date of these Terms, no specific start or end date has been fixed for the Program. The Program shall remain in effect until the Reward Pool is fully exhausted or until Strix Lab otherwise announces the Program's conclusion, whichever occurs first.
12.4 Strix Lab shall not be liable for any delay or failure to perform its obligations under the Program resulting from causes beyond its reasonable control, including network outages, blockchain congestion or failure, exchange or custodian incidents, acts of government, or other force majeure events.
13.1 These Terms, and any dispute, claim, or controversy arising out of or relating to the Program, shall be governed by, and subject to the same governing law and dispute resolution provisions set out in, Strix Lab's general Terms of Service in effect at the relevant time, which provisions are incorporated into these Terms by reference. Section 14 shall govern the process for raising Program-related inquiries in the first instance, prior to the initiation of any formal dispute resolution process referenced in the general Terms of Service.
13.2 Nothing in this Section 13 limits any right Strix Lab may have to seek injunctive or equitable relief in any court of competent jurisdiction to prevent actual or threatened violation of these Terms.
14.1 All inquiries, disputes, and requests concerning the Program, including questions regarding reward status, eligibility, or redemption, must be directed to Strix Lab support through the official Strix Lab Discord server.
14.2 Strix Lab does not undertake to respond to, and disclaims responsibility for, any inquiry concerning the Program submitted through any channel other than the official Discord server referenced in Section 14.1.
15.1 These Terms, together with Strix Lab's general Terms of Service and Privacy Policy referenced in the introductory paragraph, constitute the entire agreement between Strix Lab and each Participant with respect to the Program and supersede all prior or contemporaneous understandings, whether written or oral, relating to its subject matter.
15.2 If any provision of these Terms is held invalid or unenforceable by a court or tribunal of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
15.3 Strix Lab may assign or transfer its rights and obligations under these Terms, including in connection with a merger, acquisition, or sale of assets, without the consent of any Participant. A Participant may not assign or transfer any right or obligation under these Terms, including any accrued or credited reward, without Strix Lab's prior written consent, and any purported assignment in violation of this Section 15.3 is void.
15.4 No failure or delay by Strix Lab in exercising any right under these Terms shall operate as a waiver of such right, nor shall any single or partial exercise preclude any other or further exercise of that or any other right.
15.5 These Terms are intended solely for the benefit of Strix Lab and each Participant, and do not confer any right or remedy on any third party.
15.6 These Terms are drafted in the English language. In the event of any translation of these Terms into another language, the English-language version shall prevail in the event of any conflict or ambiguity.
15.7 By participating in the Program in any manner described in these Terms, each Referrer and each Referee acknowledges having read, understood, and agreed to be bound by these Terms in full.
